RESPONSIBILITIES:

Work with our corporate and securities team
- M&A
  - Support and conduct due diligence on sell-side and buy-side
  - Prepare disclosure schedules, ancillaries, and closing documents
  - Prepare and mark up definitive agreements
- Corporate Finance
- Emerging Companies
- Executive Compensation
- IP
- Securities Compliance

QUALIFICATIONS:

J.D. from Top 20 Law School or Top 20% of class
Barred in CA
2+ years doing Corporate Law
M&A experience
Nice to have:
- VC
- Start-up
- Corporate governance
- Contract Drafting
- Technology transactions
- M&A with public companies
